It depends on what you want. If you want to get a lens for travel, then goes for AF-S 24-120VR. Also this lens is carrying all Nikon's newest technology. If you looks for image quality, then you don't have to think, let's goes for AF24-85 f/2.8D. Remember it is a D lens, so you can use it if one day you want to use Nikon Manual SRL body (eg. FM3A).

I persoanlly like AF24-85 f/2.8D better. And I will suggest the combination as below:

1)24-85D, 105DC
2) 24-85D, 80-200ED
